Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Monty service provided by WACK ApS. By subscribing to Monty, you agree to these Terms.

1. Service Provider

2. Description of Service

Monty is a managed AI assistant service for WooCommerce webshop owners. The service includes:

  • 24/7 monitoring of your WooCommerce store via API
  • Daily reports, order notifications, and stock alerts delivered via Telegram and email
  • AI-powered suggestions for SEO, product descriptions, pricing, and stock management
  • Write operations (price changes, SEO updates, product creation) with mandatory approval flow

The service requires an active WooCommerce installation with Yoast SEO and a Telegram account.

3. Subscription and Payment

Monty is offered as a monthly subscription. The applicable price is agreed upon during onboarding and confirmed by invoice.

Payment terms:

  • Invoices are issued monthly in advance
  • Payment is due within 8 days of invoice date
  • Prices are stated exclusive of VAT where applicable

We reserve the right to adjust pricing with 30 days’ written notice.

4. Free Trial and Early Access

During the early access phase, trial periods or adjusted pricing may be offered. Any such arrangements are agreed individually and confirmed in writing.

5. Cancellation

You may cancel your subscription at any time with 30 days’ notice to the end of a billing period. Cancellation must be sent by email to monty@wack.dk.

We may cancel or suspend your subscription immediately if:

  • Payment is overdue by more than 14 days
  • You violate these Terms
  • Continued service would violate applicable law

6. Your Responsibilities

You are responsible for:

  • Providing valid API credentials for your WooCommerce store and Telegram account
  • Reviewing and approving all changes suggested by Monty before they are applied
  • Ensuring your use of Monty complies with applicable law, including GDPR obligations towards your own customers
  • Keeping your login credentials and API keys secure

7. Approval Flow and Changes to Your Store

Monty will never make changes to your WooCommerce store without your explicit approval. All write operations (price changes, SEO updates, product creation, stock updates) require a manual confirmation from you before being executed.

You are solely responsible for any changes you approve. We recommend reviewing all suggestions before approval.

8. Limitations of Liability

The Monty service is provided “as is”. We do not guarantee uninterrupted or error-free operation of the service.

To the fullest extent permitted by applicable law, WACK ApS is not liable for:

  • Loss of revenue or profits resulting from service interruptions
  • Errors in AI-generated content, descriptions, or suggestions
  • Consequences of changes you approve and apply to your store
  • Third-party service outages (Telegram, Anthropic API, WooCommerce)

Our total liability to you in any 12-month period is limited to the amount you have paid for the service during that period.

9. Intellectual Property

The Monty service, including its software, design, and branding, is owned by WACK ApS. You may not copy, reverse engineer, or redistribute any part of the service.

Content generated by Monty (product descriptions, SEO texts, etc.) is provided for your use in your own store. You retain ownership of your store data.

10. Data Processing

By using Monty, you authorise WACK ApS to access and process your WooCommerce store data as described in our Privacy Policy. A Data Processing Agreement (DPA) is available upon request for customers who require one under GDPR.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you at least 30 days before significant changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by Danish law. Any disputes shall be resolved by the courts of Denmark, with the District Court of Esbjerg as the court of first instance.
